GENERAL TERMS AND CONDITIONS

 These general terms and conditions apply to all offers and agreements betweenOnniTI, Codevid BV, KeyIT by Codevid, and its clients. By signing an offer or agreement, the client accepts the general terms and conditions.

Estimated Development Costs


The software development costs mentioned in this proposal are estimates. These estimated costs are always indicative. Final development costs may deviate by a maximum of 20% from the estimated costs outlined in the proposal. Additional functionality not included in this proposal or changes to the design will usually incur extra costs, which will be estimated separately.  

Confidentiality  


 The information contained in this proposal must not be disclosed to third parties or distributed outside the client’s organization.

OnniTI, Codevid BV or KeyIT by Codevid reserves the right to claim damages or take other measures in case the confidentiality of this proposal is breached.

By receiving this proposal, the client commits to respecting confidentiality.

Client details and confidential information provided to OnniTi, Codevid BV and/or KeyIT by Codevid will only be used internally and for the execution of the assignment and will not be disclosed to third parties unless legally required.

Both parties will never make information or trade secrets public or share them with third parties, even after the termination of the agreement.

Invoicing and Payment Terms

  1. If work is performed in phases, the different parts will be invoiced separately.
  2. For each project, milestones are agreed upon, and invoicing and payments proceed as follows:
    • Installment 1 (Advance): 25% upon signing the offer. Immediate payment.
    • Installment 2: 25% upon completion of a milestone as specified in the offer. Immediate payment.
    • Final Payment (Installment 3): 50% upon delivery of the development work. Payment due 30 days from invoice date.
    Work will only commence once the advance payment (Installment 1) is made in full. Further work will only continue after Installment 2 is fully paid.
  3. If there are no milestones, invoicing will proceed in two installments:
    • 50% upon signing the offer (advance).
    • 50% upon delivery of the development work. Work will only commence once the advance payment is made in full.
  4. OnniTI, Codevid BV and/or KeyIT by Codevid may request an advance of 100%. Work will only commence once the advance payment is made in full.
  5. For hardware purchases, the full amount (100%) will be invoiced and must be paid in advance before installation of the products.

In case of late payment, OnniTI, Codevid BV and KeyIT by Codevid  reserves the right to suspend the application. From the third invoice reminder onwards, statutory interest is due. All collection costs are borne by the client. Additionally, OnniTI, Codevid BV and KeyIT by Codevid  BV may demand compensation of 15% of the invoice amount, with a minimum of €200, and suspend all work until overdue invoices, interest, and compensation are paid.

For on-site assignments, a mileage allowance of €0.70/km is charged from our office in Ghent.

Cancellation and Compensation

  1. Cancellation by the Client
    If the client wishes to cancel a signed offer, this must be done in writing, and the cancellation will only take effect after written confirmation from OnniTI, Codevid BV or KeyIT by Codevid
  2. Compensation
    In case of cancellation of a signed offer by the client, the client must pay compensation to OnniTI, Codevid BV or KeyIT by Codevid  equal to 30% of the total offer amount. This compensation is intended to cover incurred costs and lost profits.

Services

The proposed developments may include a tailored support contract and hosting.

Services that entail annual costs, such as licenses, hosting or support agreements, and SSL certificates, will be invoiced annually in advance and automatically renewed.

If the client wishes to terminate these services, they must notify us in writing at least one month before the expiration date.

Correction of Errors After Delivery  

After project delivery, the client has 60 days to report any bugs. After this period, support can only be provided upon signing a support agreement between both parties.

Change requests will be included in a new offer between OnniTI, Codevid BV or KeyIT by Codevid.
